Terms and Conditions

ALL ORDERS PLACED BY BUYER WILL BE SUBJECT TO THE TERMS AND CONDITIONS OF SALE SET FORTH BELOW. ANY ADDITIONAL OR DIFFERENT TERMS PROPOSED BY BUYER ARE DEEMED TO BE REJECTED UNLESS EXPRESSLY CONSENTED TO, IN WRITING, BY AN OFFICER OF MISSION SALES AND SUPPLY, LLC (MISSION SUPPLY)

1. DISCLAIMER OF WARRANTIES. Mission Supply warrants that the goods and services to be sold hereunder will conform to the description in Mission Supply’s Quotation, will be free of defects from Mission Supply’s manufacturer’s workmanship, and will be of Mission Supply’s manufacturers’ standard quality. This warranty is valid for twelve (12) months from date of shipment. MISSION SUPPLY MAKES NO OTHER WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED. MISSION SUPPLY FURTHER MAKES NO WARRANTY OF MERCHANTABILITY ON ANY GOODS, COMPONENT PARTS, OR MATERIALS NOT SUPPLIED BY MISSION SUPPLY, OR OF THE FITNESS OF THOSE GOODS FOR ANY PURPOSE.

2. REMEDY AND LIMITATIONS OF DAMAGES. Buyer’s exclusive remedy for claims arising from defective, or non-conforming goods shall be limited to replacement thereof or refund of the purchase price, at Mission Supply’s option. MISSION SUPPLY SHALL NOT BE LIABLE FOR ANY ECONOMIC AND OTHER LOSES, DAMAGES OR EXPENSES, WHETHER DIRECT, INCIDENTAL, OR CONSEQUENTIAL, CAUSED BY OR RESULTING FROM THE USE OF DEFECTIVE OR NON-CONFORMING GOODS OR FROM DELAY IN DELIVERING GOODS. By using the goods in any manner, buyer acknowledges them to be free from defects and conforming to the contract. Mission Supply’s total liability, whether arising from or based upon breach of warranty, breach of contract, tort, including seller’s negligence, strict liability, indemnity or any other cause or basis whatsoever, is expressly limited as stated above. The remedy described above shall be buyers exclusive remedy for breach of warranty, express or implied.
